Terms & Conditions

Last updated: September 25, 2026

These Terms & Conditions govern purchases and use of services provided by Local Demand Works (“LDW,” “we,” “us” or “our”). By purchasing a service, submitting payment, or entering into a service engagement with us, you agree to these terms together with any applicable proposal, statement of work, order details or other written agreement.

Terms at a Glance

  • Service scope comes from the product description, checkout details and any applicable written proposal or statement of work.
  • Clients are responsible for timely information, approvals, materials and access needed to perform the work.
  • Recurring services renew at the disclosed billing interval until canceled.
  • Advertising spend and other third-party costs are separate unless expressly included in writing.
  • Specific marketing outcomes are not guaranteed unless a separate written agreement says otherwise.

1. Services

Local Demand Works provides digital marketing and related professional services, which may include local SEO, Google Ads management, lead generation, websites and landing pages, conversion tracking, CRM and lead-capture integrations, copywriting, consulting and ongoing growth management. The specific scope, deliverables and timing of a purchase are determined by the product description, checkout information and any written proposal or statement of work applicable to the engagement.

2. Client Responsibilities

You agree to provide reasonably accurate information, timely approvals, requested materials and access necessary for us to perform the services. This may include access to websites, analytics, advertising accounts, business profiles, domains, CRM systems or other platforms. Delays in providing required information, access or approvals may affect timelines and performance.

3. Fees & Payment

Prices are shown at checkout or stated in an applicable written proposal. You authorize us and our payment processors to charge the payment method you provide for amounts due. Advertising budgets, hosting, domains, software, licenses and other third-party costs are separate unless expressly included in writing.

4. Recurring Services & Automatic Renewal

Services identified as subscriptions or monthly management plans renew automatically at the billing interval disclosed at checkout until canceled. By purchasing a recurring service, you authorize recurring charges to your selected payment method. You may request cancellation before the next renewal. Cancellation prevents future renewal charges but does not automatically refund a billing period already started or services already performed.

5. Refunds & Cancellations

Refund and cancellation requests are governed by our Refund & Cancellation Policy, which is incorporated into these terms. Where a signed proposal, statement of work or other written agreement contains different payment or cancellation terms, that agreement controls for that engagement.

6. Advertising Accounts & Third-Party Platforms

Some services rely on third-party platforms such as search engines, advertising networks, analytics providers, hosting providers and social or business-profile platforms. Their availability, policies, approval decisions, algorithms, pricing and functionality are outside our control. We are not responsible for a third-party platform’s suspension, rejection, outage, policy change or other independent action, although we may assist with issues that fall within our agreed scope.

7. No Guarantee of Specific Results

We aim to perform services professionally and according to the agreed scope, but marketing outcomes depend on many variables outside our control. Unless a specific guarantee is expressly included in a separate written agreement, we do not guarantee a particular search ranking, number of leads, advertising result, revenue amount, conversion rate, traffic level or other business outcome.

8. Intellectual Property & Client Materials

You represent that you have the right to provide materials, trademarks, images, copy, data and account access supplied to us for the engagement. Ownership and permitted use of custom deliverables will follow any applicable written proposal or agreement. Pre-existing tools, processes, templates, know-how and intellectual property owned or licensed by Local Demand Works remain ours or our licensors’ property.

9. Confidentiality & Account Access

Each party should use reasonable care with non-public business information received in connection with the services. Clients are responsible for maintaining appropriate ownership and security over their accounts and for promptly revoking access that is no longer needed. We may use authorized access only as reasonably necessary to perform the agreed services.

10. Service Changes & Scope

Requests outside the agreed scope may require additional fees, a revised timeline or a separate project. We will communicate material scope changes before undertaking separately billable work whenever reasonably practicable.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Local Demand Works will not be liable for indirect, incidental, special, consequential or punitive damages arising from the services. To the fullest extent permitted by law, our aggregate liability arising from a particular service engagement will not exceed the amount paid to Local Demand Works for the service giving rise to the claim during the applicable engagement or, for recurring services, during the three months preceding the event giving rise to the claim. Nothing in these terms excludes liability that cannot legally be excluded or limited.

12. Suspension or Termination

We may pause or terminate services for material non-payment, unlawful activity, abuse of our staff or systems, material breach of these terms, or where continuing the engagement would violate law or third-party platform requirements. Where reasonably practicable, we will provide notice and an opportunity to address a remediable issue.

13. Changes to These Terms

We may update these terms from time to time. The current version will be posted on this page with its updated date. Material changes will apply prospectively except where a change is required by law, security needs or a third-party platform requirement.

14. Governing Law

These terms are governed by the laws applicable in the State of New Jersey, without regard to conflict-of-law principles, except to the extent applicable law requires otherwise.

15. Contact

Questions about these terms, billing or your service can be submitted through our Contact page. Please do not submit full payment-card numbers or other unnecessary sensitive financial information through website forms.
